Terms of Service

    1. Agreement to Terms

    These Terms of Service ("Terms") constitute a legally binding agreement between you and Third Voice, Inc. ("Company," "we," "our," or "us"), located at 7930 Jones Branch Drive, Suite 310, McLean, VA 22102. By accessing or using thirdvoice.ai and our related services (the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

    2. Description of Services

    Third Voice provides:

    • AI-powered voice agents that answer calls, schedule appointments, and handle patient inquiries for dental practices
    • Real-time analytics dashboards for call performance, scheduling metrics, and revenue tracking
    • Integration services with practice management systems (PMS)
    • Multi-location management tools for dental service organizations (DSOs)
    • Omnichannel patient communication capabilities (voice, web, chat, text)

    3. Eligibility and Account Registration

    Dental Practice Accounts

    • Only authorized representatives of dental practices, dental service organizations, or healthcare entities may create accounts
    • You must provide accurate, current, and complete information during registration
    • You are responsible for maintaining the confidentiality of your account credentials
    • You must notify us immediately of any unauthorized access to your account

    Patient Interactions

    • Patients interact with our AI voice agents through their dental practice's phone system
    • Patients do not need to register or create accounts
    • Patient interactions are governed by the dental practice's own policies and our Privacy Policy

    4. Subscription, Fees, and Payment

    • Access to our Services requires a paid subscription plan
    • Subscription fees, billing cycles, and payment terms are specified in your service agreement or order form
    • All fees are quoted in U.S. dollars unless otherwise specified
    • We reserve the right to modify pricing with 30 days' written notice
    • Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less
    • You are responsible for all applicable taxes

    5. Acceptable Use

    You agree NOT to:

    • Use the Services for any unlawful, fraudulent, or malicious purpose
    • Interfere with, disrupt, or overburden our systems or infrastructure
    • Attempt to gain unauthorized access to any part of the Services
    • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of our technology
    • Use the Services to transmit spam, unsolicited communications, or harmful content
    • Sublicense, resell, or redistribute the Services without our written consent
    • Use the Services in violation of HIPAA or other applicable healthcare regulations
    • Misrepresent your identity or affiliation with any person or entity
    • Use automated tools to scrape, crawl, or extract data from the Services

    6. Intellectual Property

    • All content, features, functionality, trademarks, and technology of the Services are owned by Third Voice, Inc. and are protected by U.S. and international intellectual property laws
    • Your use of the Services does not grant you any ownership rights to our intellectual property
    • We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms
    • Any feedback, suggestions, or ideas you provide to us may be used by us without obligation or compensation to you

    7. Data and Privacy

    • By using our Services, you agree to our Privacy Policy, which is incorporated into these Terms by reference
    • You are responsible for ensuring that your use of the Services complies with all applicable data protection and privacy laws
    • Dental practices using our Services must have appropriate patient consent and legal basis for processing patient data through our platform

    8. HIPAA and Healthcare Compliance

    • Third Voice operates as a Business Associate under HIPAA when processing Protected Health Information on behalf of dental practices
    • We will enter into a Business Associate Agreement (BAA) with each covered entity client
    • Both parties agree to comply with all applicable provisions of HIPAA, HITECH, and related regulations
    • You agree not to use the Services in any manner that would cause Third Voice to violate HIPAA

    9. Service Availability and Support

    • We strive to provide 99.9% uptime but do not guarantee uninterrupted availability
    • Scheduled maintenance will be communicated in advance when reasonably possible
    • We are not liable for service interruptions due to circumstances beyond our reasonable control (force majeure), including natural disasters, internet outages, third-party service failures, or government actions

    10. Disclaimer of Warranties

    THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

    11. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

    • IN NO EVENT SHALL THIRD VOICE, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES
    • OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
    • THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE)

    12. Indemnification

    You agree to indemnify, defend, and hold harmless Third Voice, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

    • Your use or misuse of the Services
    • Your violation of these Terms
    • Your violation of any applicable law or regulation
    • Your violation of any third-party rights

    13. Termination

    • Either party may terminate the service agreement with 30 days' written notice
    • We may suspend or terminate your access immediately if you violate these Terms
    • Upon termination, your right to use the Services ceases immediately
    • We will provide reasonable assistance in exporting your data for 30 days following termination
    • Sections on Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination

    14. Modifications to Terms

    We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before they take effect. Continued use of the Services after the effective date of changes constitutes acceptance.

    15. Governing Law and Dispute Resolution

    • These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles
    • Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Fairfax County, Virginia
    • Before filing any claim, both parties agree to attempt good-faith negotiation for a period of 30 days

    16. Severability

    If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

    17. Entire Agreement

    These Terms, together with the Privacy Policy, Security Practices, and any applicable service agreements or order forms, constitute the entire agreement between you and Third Voice, Inc.
